Pridgen,Council President,Christopher P.Scanlon, President Pro Tempore,and Councilmembers: Feroleto, Fontana, Franczyk,Golombek, Rivera,Wingo Sr.,Wyatt—9 Absent—0 On a motion by Mr. Rivera,Seconded by Mr.Scanlon,the minutes of the stated meeting held on July September 15,2015 were approved FROM THE MAYOR FROM THE MAYOR-EXECUTIVE DEPARTMENT FROM THE OFFICE OF STRATEGIC PLANNING NO.1880 PERMISSION TO DESIGNATE DEVELOPER-101 HERTEL AVENUE FORMER SCHOOL NO.51("THE PROPERTY) NORTH DISTRICT The City of Buffalo Office of Strategic Planning, Division of Real Estate("Office of Real Estate")has received a request from People Community Housing Development Corporation/People Inc.,("Developer")with a mailing address of 1219 North Forest Ave.,Williamsville, NY 14221 to purchase the above captioned Property. The Developer is interested in converting the property into forty-three(43)residential units and a community space on the ground floor. The residential units are comprised of 31-one(1)bedroom,and 12-two(2)units for veterans,special needs individuals,seniors,and other making up to 60%of median income. The Developer estimates the total project costs to be approximately$12,406,297.00.They intend to seek funding as follows: Homeless Housing Assistance Program(HHAP) $2,216,999.00 Low Income Housing Credit(LIHC) $5,354,165.00 HOME/HOUSING TRUST FUND(HTF) $2,200,000.00 NYS Office for Persons with Development Disabilities $1,448.132.00 (OPWDO) Federal Home Loan Bank/Deferred Development Fee $860,000.00 (FHLB/DF) NYS Energy Research&Development Authority(NYSERDA)$ 86,000.00 Total Funding $12,406,297.00 The purchase price of the Property shall be established pursuant to Section 27-5 of the City Charter,(Sale By Appraisal)to be obtained and paid for by the Developer("Purchase Price"),which said appraisal value is subject to review and approval by the City of Buffalo Appraisal Review Board and approval by Your Honorable Body. The Office of Strategic Planning, Division of Real Estate,respectfully requests that Your Honorable Body designate People Community Housing Development Corporation/People Inc as the Developer,and/or a corporation,partnership,or other legal entity to be designated by People Community Housing Development Corporation/People Inc and approved by the Office of Strategic Planning,as the Developer of the Property for a period of twelve(12)months,with the option of the Executive Director of the Office of Strategic Planning to extend for an additional twelve(12)month period,subject to but not limited to the following terms and conditions. a. Payment of a designation fee of Five Hundred Dollars($500.00)per month("Designation Fee")by Developer to the Office of Real Estate,payable within five(5)days from the date of Common Council approval of the designation and due thereafter by the first(1st)day of every month. b. In the event the Developer shall exercise its option to acquire said Property pursuant to the LDA to be negotiated by Developer and the City,said Designation Fee shall be applied as a credit towards the Purchase Price. In the event Developer shall not proceed with the acquisition of the Property within the designation period, Developer shall forfeit all fees paid on account and the City shall retain all such fees C. Submission by the Developer of a detailed site plan of the Project for approval by the City of Buffalo Planning Board(if necessary)and construction plans,including landscaping and a breakdown of estimated total Project costs,for review and approval by the City of Buffalo.Said plans shall also be in accordance with Article XXVIII of the Zoning Ordinance of the City of Buffalo. d.Submission of a colored rendering of the Project suitable for presentation to the Common Council which shall be submitted by the Developer to the Office of Real Estate prior to Common Council approval of a Land Disposition Agreement("LDA"). e.Submission of monthly progress reports by the Developer to the Office of Real Estate by the fifth(5th)of each month,beginning in the month following this designation. f. Submission by the Developer to the Office of Real Estate of evidence of equity capital and mortgage financing necessary for the completion of the Project which shall be submitted prior to closing. g. Developer is responsible for performing soil borings and soil investigations and any other tests,investigations,or surveys consistent with,and subject to,execution and compliance with an Access, Indemnification and Insurance Agreement,by each and every Contractor hired by Developer that will access the Property,for the purpose of determining,to Developer's satisfaction,the suitability of the Property for Developer's intended use,and/or the presence or absence of hazardous substances as such term is used in the Comprehensive Environmental Response,Compensation and Liability Act of 1980,as amended,42 USC ss 9601 et seq.;the Hazardous Materials Transportation Act,as amended,49 USC ss 1801 et seq.;the Resource Conservation and Recovery Act,as amended,42 USC ss 6901 et seq.;Articles 15 and 27 of the New York State Environmental Conservation Law or any other federal,state,or local law, regulation,rule,ordinance,by-law,policy guidance,procedure,interpretation,decision,order,or directive,existing as of the date hereof, previously enforced or subsequently enacted.The Access Agreement and evidence of insurance saving the City of Buffalo harmless from any and all liability must be approved as to form by City of Buffalo's Corporation Counsel's Office and signed by the City of Buffalo prior to any and all Contractor's accessing the Property. h.The successful negotiation of an LDA for approval by the Common Council no later than twelve(12)months from the date the Common Council approves the designation. i.That the Developer,or an entity to be designated by the Developer,must sign an Environmental Release and Indemnity Agreement releasing the City of Buffalo from any and all liability,said document to be in form and substance acceptable to the City in the City's sole discretion. j.The LDA will require that the Developer,or an entity to be designated,to provide,if necessary,the City of Buffalo with easements rights and access arrangements satisfactory to the City(Office of Strategic Planning, Department of Public Works, Parks&Streets and the Corporation Counsel's.Office)in their sole discretion. k.The Developer and/or a corporation,partnership,or other legal entity to be designated by the Developer and approved by the Office of Strategic Planning further agrees to any and all other terms deemed necessary by the City of Buffalo Corporation Counsel's Office; I.Should it be necessary to remove and/or relocate any utility poles or other utilities/facilities as a result of this Project,the Developer agrees to pay all costs associated with the removal or relocation of said utilities/facilities.This includes but shall not be limited to decommission costs of utility poles. m. Upon signing of the LDA,payment by the Developer to the City's Division of Real Estate,a non-refundable deposit in the amount of ten percent(10%)of the to be agreed upon Purchase Price.The Purchase Price is to be established in accordance with Article 27 of the City of Buffalo Charter. n. Individuals and/or corporations are ineligible for designation if they have outstanding taxes,water bills,parking tickets,user fee and/or demolition liens or any other liens owed to the City of Buffalo,or if code violations exist on any property owned by them. o.The designation will expire twelve(12)months from the date the Common Council approves the designation,with the option of the Executive Director of the Office of Strategic Planning to extend for an additional twelve(12)month period. p.The City of Buffalo may terminate this designation should the Developer and or a corporation,partnership or other legal entity to be designated by People Community Housing Development Corporation/People Inc.and approved by the Office of Strategic Planning fails to meet any of the deadlines set forth above.Should the City elect to terminate this designation on or before the end of the designation period for failure by the Developer to comply with the above conditions,the City will give written notice to the Developer via certified mail and allow the Developer two(2)weeks to cure. PASSED AYES—9 NOES-0 NO.1882 1.CONSENTING TO THE USE OF CERTAIN ERIE COUNTY INDUSTRIAL DEVELOPMENT AGENCY(THE "ECIDA')PILOT PAYMENTS TO BE MADE WITH RESPECT TO THE 500 SENECA PROJECT TO FIRED THE COSTS OF PUBLIC INFRASTRUCTURE IMPROVEMENTS FOR THE BENEFIT OF THE SENECA STREET CORRIDOR DISTRICT. 2.AUTHORIZING THE MAYOR OF THE CITY OF BUFFALO TO EXECUTE AND DELIVER A MEMORANDUM OF UNDERSTANDING AND ANY OTHER RELATED AGREEMENTS TO SO FIRED THE COSTS OF PUBLIC INFRASTRUCTURE IMPROVEMENTS FOR THE BENEFIT OF THE SENECA STREET CORRIDOR DISTRICT. PILOT Increment Financing("PIF")is a municipal economic development self-financing tool which allows a taxing jurisdiction,such as the City of Buffalo(the"City"),to commit future tax increment revenues to specific economic development initiatives proximate to the project generating the revenue.The base value of real property taxes that a taxing jurisdiction receives is set at the current level of real property tax revenues.As private sector development/investment occurs and the assessed value of the real property increases,the additional tax revenues above the base level(the"PIF Increment")can be used by the City for public infrastructure and other improvements. Savarino Companies(the"Company"),on behalf of 500 Seneca Street, LLC is redeveloping a 292,917 sq.ft.,former manufacturing facility at 500 Seneca Street into apartments,"Class A"office space,retail space,and space for community service organizations(the "500 Seneca Project").The site requires environmental remediation and has entered the New York State Brownfield Clean-up Program (BCP).The 500 Seneca Project is located in an Environmental Zone and is eligible for a New York State brownfield tax credit(the"BTC") for real property taxes/PILOT payments.The BTC encourages and incentivizes the Company to make real property tax/PILOT payments, instead of otherwise choosing a New York Real Property Tax Law Section 485-a real property tax abatement and then otherwise not paying real property taxes in any amount on the improvements for an eight year time period. Based on an estimated assessed value of$12,000,000 at completion of the 500 Seneca Project,the ECIDA estimates that the 500 Seneca Project would generate approximately$3,304,800 in new City tax revenue over the next ten years assuming no PILOT or other real property tax abatement(Section 485-a of the New York Real Property Tax Law)is utilized. If the 500 Seneca Project utilizes the Section 485-a real property tax abatement,it is estimated that the City would receive approximately$198,288 in new City tax revenue over the next ten years. If a typical ECIDA PILOT(ten year PILOT term)is used by the Company,it is estimated that the City would receive approximately $694,008 over the ten year term of the PILOT for base value payments,and potentially$2,610,792 over ten years in PIF Increment over the base value payments that can be used for public infrastructure improvements related to the 500 Seneca Street project. The Company and City of Buffalo have requested the ECIDA to assist with the 500 Seneca Project.The 500 Seneca Project as well as the JFK Community Center and Olivencia Center are located within the Seneca Street Corridor District(the"District")as described and identified within Exhibit A as attached hereto. In connection with the 500 Seneca Project and the continued and ongoing infrastructure needs at and within the District, the Company has requested that the Seneca Street Corridor District Fund (the "District Fund") be established by ECIDA to facilitate the acquisition, construction, and equipping of certain related public infrastructure improvements and public streetscape improvements in the District including but not limited to sidewalk reconstruction, curb reconstruction, tree planting, installation of street lighting, paving and public parking (the "Infrastructure Improvements"). Improvements are limited by what can be funded under IDA authority. The funding of the Infrastructure Improvements is beyond the ability of any single development project or the City and cannot be reasonably anticipated from state and federal grant programs and can only be accomplished through a true public-private partnership with the cooperation and support of the Company,the City,and the ECIDA.The Company will make PILOT payments to ECIDA, ECIDA will create the District Fund and deposit the appropriate amount of the PILOT payment into the District Fund,and the ECIDA will reimburse, only to the extent of the funds deposited into the District Fund,the City for the cost of improvements in the District as contemplated herein,including bond payments for the Seneca Street District. In recognition of the foregoing and in furtherance of the anticipated significant positive financial impacts within the City associated with the 500 Seneca Project and the Infrastructure Improvements, the Company has requested that the City and the ECIDA establish a PILOT Increment Financing Structure(the"PIF Structure")requiring that the Company make a PILOT payment,during the ten year term of the PILOT Agreement affecting the 500 Seneca Project, equal to the applicable current year full taxes that would normally be paid as if the ECIDA did not hold an interest in the Project,where the resulting difference, or"increment" between the full taxes and base value-the PIF Increment - is then used to finance the District Fund for purposes of funding the cost of Infrastructure Improvements within the District.A draft Memorandum of Understanding, to be executed by the Company,the City,and the ECIDA, is attached hereto as Exhibit B,and contains the understandings of the parties necessary to initiate establishment of the PIF Structure. 3 In order for the ECIDA to utilize the PIF Increment as so desired by the Company and the City as contemplated herein, the ECIDA is required,pursuant to New York General Municipal Law Section 858(15),to secure the consent of the City of Buffalo. He bought the property knowing full well how it is zoned.'He used as an excuse that the construction on Kenmore would not make the store viable.Any good businessman would have done his due diligence and known about this project which has been in the works for years. He is either a poor businessman or sly like a fox. Let's not reward him for either. This stretch of Kenmore should remain retail!We do not want it to become light industrial. Imagine if this proposal was in the Elmwood Village or on Hertel between Starin and Delaware. We have already been deceived about the construction on Kenmore.We were told by the city planners that the Kenmore reconstruction would be like Hertel.The initial meetings all focused on how this transformational design would include shrubs and other landscaping, stamped concrete,attractive lighting and benches to create a more walkable neighborhood and to encourage retail development. Now it is turning into a simple repaving..........and widening project under the excuse of budget restraints.This sure seems like typical bait and switch. Joe Dash attempts to change the fabric of our neighborhood must be stopped. His vision of the property is myopic. Buffalo has knocked down fabulous buildings and destroyed neighborhoods throughout its recent history because of short-sighted developers.A storage site may make economic sense to Mr Dash but not to this neighborhood.This stretch of Kenmore should remain retail.The time is now to look at this stretch of Kenmore long term and not bow to a businessman who has such utter disregard for the concerns of the neighborhood. City of Buffalo residents that rely on public transportation will find accessibility to dispensaries quite challenging. Now therefore be it resolved,the Common Council calls on the PSC to improve upon its current proposal and create a statewide utility assistance program that: (a.)automatically enrolls all low income utility customers;. "Any person who,with the intent to deprive an individual or group of individuals of the exercise of their civil rights because of the individual's or individuals'race,creed,color,national origin,sex,gender identity and expression,disability,age,or sexual orientation, commits an unlawful discriminatory practice in violation of civil rights,or causes damage to the property of another or causes physical injury or death to another shall be liable,in a civil action or proceeding maintained by such individual or group of individuals for injunctive relief,damages,or any other appropriate relief in law or equity. In any such action or proceeding,the court,in its discretion,may allow the party commencing such action or proceeding,if such party prevails,a reasonable attorney's fee as part of the costs."
