Inquiries, Inc. is capable of performing statewide searches throughout the United States.
Statewide repository searches are not usually as accurate as county level searches as state
repositories are used mostly through the state police. The search results will vary from
state to state encompassing a variety of offenses and dispositions, dependent on the
availability of state supplied information.
The search will return at minimum felony convictions, with some states returning more
in-depth results including misdemeanor and traffic convictions. The scope of the search
will vary from state to state, depending on the system the state has utilizes. Inquiries will
be able to return most statewide searches within 24 to 48 hours.

Inquiries believes in using "real time" data, providing our clients with nothing but the
most accurate and comprehensive data available. This is made possible by our team of
researchers who have access every county courthouse in the United States retrieving data
as requested. This direct access to courthouses allows Inquiries to use real-time data that
is live without taking the chance of missing information that has recently been processed.
We can assure the use of "live" data in county criminal searches by utilizing more than
4,000 researchers. Researchers will go directly into the courthouse and/or courthouse
system and pull the pertinent information regarding a prospective employee. Our
researchers are highly trained and have a minimum of two years' experience in the
background research field. Utilizing these researchers on an as needed basis allows
Inquiries the ability to maintain lower overhead, passing the savings on to our clients.
Inquiries believes in maintaining the best researchers in the industry. In order to maintain
our superior level of excellence, our researchers must pass continuous tests from
Inquiries. We "salt" our researchers and investigators by giving them a search where the
positive or negative result is known in advance. We verify that the results match those
already known. If we identify a discrepancy and the researcher is at fault, they are
terminated on the spot, and their services are no longer utilized. We do this to maintain
the highest level of accuracy and data reliability within the industry.
FEDERAL CRIMINAL SEARCHES
Inquiries has access to Federal District Courts throughout the United States. Each
Federal District within a state handles federal offenses which occur in the counties that

fall within the particular district. Examples of cases which can be found in a Federal
District Court include crimes in which Federal Law Enforcement is involved, such as the
FBI and ATF. Other examples will include bank robbery, drug trafficking, interstate
kidnapping, and terrorism.
STATE SEX OFFENDER
Inquiries has the ability to perform sexual offender searches throughout the United States
and performs this service on a regular basis for many of our clients. Each state has
individual rules and regulations as to the offenses available for search. We will perform a
sex offender nationwide search or state sex offender search as requested by the client for
any individuals specified.
SC(PE OF SEARCHES. We will perform a sexual offender search for the state
specified by each client for designated subjects. Information will be submitted to
the client regarding an adult found guilty of any of the following crimes: (Please
note that slight variations occur from state to state) Indecent Solicitation or
exploitation of a child; Soliciting, Patronizing, or Keeping a place for a Juvenile
Prostitute; Juvenile Pimping; Exploitation of a Child; Child Pornography;
Criminal Sexual Assault; Aggravated Criminal Sexual Assault; Predatory
Criminal Sexual Assault of a Child; Criminal Sexual Abuse, when a felony-,
Aggravated Criminal Sexual Abuse; Ritualized Abuse of a Child; Forcible
Detention, if the victim is under 18 years of age; Indecent Solicitation of an
Adult; Soliciting for a Prostitute, if the victim is under 18 years of age; Pandering,
Patronizing, or Pimping if the victim is under 18 years of age; Kidnapping;
Aggravated Kidnapping; Unlawful Restraint Aggravated Unlawful Restraint; First
Degree Murder of a Child; Child Abduction; and Attempts to corm these
offenses.
Like the scope of offenses included, available information on the offenders also varies
from state to state. The name, date of birth, and offense or adjudication for registered sex
offenders of each state requested will be submitted to the client. Although each state has
different standards, generally sex offenders are required to submit their information for at
least 10 years starting at the date of parole or release from custody/hospitals. It is also
generally required that offenders submit an address change within 7 ®10 days of moving,
CONSUMER CREDIT CHECK
Inquiries is a registered Consumer Reporting Agency, giving us direct access to the major
credit bureaus. This access allows Inquiries to pass on information to clients directly
from the source. Inquiries credit reports come from Experian,

results we deliver are complete as well as accurate.

PAST EMPLOYMENT. When requesting information regarding an applicant's
employment history, Inquiries will go to great lengths to gather any and all
information available. No reliable single source database exists for the
verification of employment for all persons working in the United States. As a
result, the Inquiries team will perform the following steps each time a verification
request is received.
REVERSE DIRECTORY SERVICE. Using the phone number of the employer provided
by the applicant, we will enter the number into our national database to ensure
that the phone number is listed to a bona fide employer. Any phone numbers
provided will be verified and false/wrong numbers provided will be reported for
correction or investigation. After the identity of the employer is verified using the
reverse directory service check, we make contact with the human resources
department at the employer's office. We document the name and title, and then
ask for the verification of employment. General information provided includes:
o name, last title held, dates employed, and rehire eligibility.
Employers are also asked other questions with the intent of finding
as much information regarding prospective employees as possible.
We document the information provided, thank the individual, and
end the call.
If the employer will only provide the information via fax or email, we send the
document to them, and provide them with our return e-mail address or toll free
fax number. When a fax or email is sent, we tag the file for follow up. if the
information has not been received by the next day or within the promised
timeframe, we call the individual we spoke to previously, and again request the
information. The suspense is updated for the next business day or the promised
time. Inquiries makes three attempts to contact the employer.
Occasionally, Inquiries encounters a large company that will not respond to
inquiries for employment verification, and instead refer the investigator to a fee
for service data provider. Inquiries is a member of this network and will obtain
the information for employers who are members from the network.
ACADEMIC CHECKIVERIFICATION
Inquiries will provide information regarding the education of prospective employees.
Information is acquired directly through the school or from a third party source when
schools adopt a policy to outsource this information regarding students. Information
obtained includes name and whether a degree was obtained. It will also reveal whether
the prospective employee ever attended that school, depending on the information
available at the school.
DRIVIN RECORDIM11 VEHUCLE SEARCH
Inquiries has access to motor vehicle reports throughout the United States. These reports
will include validation of the applicant's driver's license, status, expiration date, and
accidents or violations on the applicant's record.

Persons," as well as listed embargoed countries and regions. Inquiries will check this list
for the NNPSR to ensure potential employees are not prohibited persons.

The Nationwide Wants and Warrants search consists of a search for active, extraditable
Wants and Warrants issued at the nationwide level. County level Wants and Warrants
that have been outstanding for quite some time may be elevated to the nationwide level.
In addition, county Wants and Warrants for serious offenses may also be elevated to the
nationwide level.
CIVIL SEARCHE,S
Inquiries will provide civil searches by using our researchers to access the upper and/or
lower civil information in the areas requested. Upper level civil searches will include
monetary charges generally over $2,500 while Federal Civil searches generally include
more than one States involvement, higher monetary claims, or company involvement.
This can vary by location as well as by county or Federal district. Due to changes in
privacy laws, civil searches do not include any identifiers on the cases besides a name
and a possible address.

Inquiries Inc. on Friday of last week, the City of Buffalo conducted a RFP on background checks for Police and Fire over
ten years ago. According to Inquiries, Inc., the number of searches became extensive and the resources available to the
City 0f Buffalo became very limited. There was also the critical matter of "conflict of interest" that many large cities like
Buffalo were encountering. Therefore, the City of Buffalo turned to an outsid6 source such as Inquiries, Inc. to conduct
background checks on potential hires for Police and Fine.
Once a person's name and |D information isin the Inquiries, Inc. system, the investigations beono. The 0 information b
checked for quality and the inquiries, Inc. system cleciphers where to search for criminal records based on the social

WITNESSETH:
In consideration of the mut covenan and conditions contained herein, the parties
agree to all of the following:
The following definitions shall apply to terms as used throughout this Agreement and in
the Attachments hereto:
Ambulance Dispatch means the system of ambulance dispatch in the City, as chosen or
assigned by the City.
Communications Center means the Emergency Services Communications Center
designated by ESB.
Communicatiopl System means all mobile and portable radios, Communications Center
telephone hardware, software and line services, communications SYStern infrastructure including
antennae, pagers, consoles, console equipment, computer aided dispatch, related backup
uninterruptible power supplies and generator systems, repeaters and repeater sites, mobile data
terminals and mobile data radio units, system status management CAD data, and the automatic
vehicle locator (AVL) system, now existing or hereafter added or replaced.
Contract Year means each 12-month period during the term of this Agreement (and any
extension thereof), beginning on and ending the immediately following
. Initial start-up of contract including payment of Franchise Fee shall be prorated
from the date of the award through the end of the Contract Year.
Exhibits means the Exhibits to this Agreement, as incorporated by reference herein.
Franchise Fee means monies paid by Ambulance Service to the City, in return for EMS
services rendered by the City to the Ambulance Service associated with the EMS System,
Patient Care Reportff CR) means the written or electronically recorded patient records,
in such reasonable form as is approved by the New York State Department of Health, providing
for documentation by field personnel on the approved form of all required medical information,
billing information and other information related to a single Patient Contact.
Peak Hours means any period of time when emergency incidents are expected to occur
in high volume as compared with other times of day, as mutually determined and jointly agreed

to quarterly by the Fire Commissioner and Ambulance Provider based upon the historical data
wherein estimated requests will be at least 11 per hour.
Western Re means the
regional medical advisory committee established pursuant to New York State Public Health Law
(Article 30), as referenced in Exhibit A.
Section 2.01 Statement of P ose
The parties hereto mutually agree that the purpose of this Agreement is to effectuate and
encourage the furnishing of the most modem, expeditious and reliable professional emergency
ambulance services at a reasonable cost for those sick or injured persons within the City.
Section 2.02 of Undertaking
For good and valuable consideration, the City and Ambulance Service mutually agree to
perform each and every term of this Agreement. In consideration of the City's costs and
expenses for dispatching or arranging for dispatch and providing for first responder services,
Ambulance Service shall pay the annual Franchise Fee under this Agreement. The Franchise Fee
shall be based upon the amount estimated and supported by detailed information provided to
Ambulance Service for the provision of management, monitoring, evaluation, licensing and
maintenance of first responder services within the Fire Department. Rural/Metro and the City of
Buffalo will work together to reduce the expense of its first response services within the City of
Buffalo. Ambulance Service will provide the City with the following annual franchise fee
payments as set forth below:

The Franchise Fee shall be paid to the City in four (4) equal installments. the first to be
paid ninety (90) days after the Effecti Date, and the remainder to be paid at the end of each
lainety (90) day period for the Contract gear. Initial start-up shall be prorated from the date of
the award through the end of the Contract fear,

ARTICLE III
SPECIFICATIONS
Section 3.01 Response Areas
For response performance purposes, City is a single (1) response area.
Section 3.02 Certificate
Ambulance Service shall maintain in effect an operating certificate from the State of New
York Department of Health pursuant to Article 30 of the Public Health Law of the State of New
York and notify the City and ESB of any suspension, revocation or disciplinary investigation or
action against its operating certificate or any registration or authorization by the Federal Food
and Drug Administration with respect to the possession or dispensation of controlled substances.
Ambulance Service shall demonstrate to the satisfaction of the City that such operating
certificate is in effect at the time of the execution of this Agreement and Ambulance Service
shall renew such certificate as required throughout the term of this Agreement.

A) Ambulance Service shall comply with the Schedule of Performance attached
hereto as Exhibit E. Ambulance Service shall reasonably involve itself in and support the City
Fire Department's First Responder Program to enhance quality of patient care with the timely
delivery of appropriately trained EMS personnel.
B) Throughout the duration of this Agreement, Ambulance Service shall, at a
minimum, comply with the plans and improvement recommendations of the ESL's Continuous
Qu ality T
ual. improvement Program (CQI). The (—'Ql shall be an organized, coordinated
multidisciplinary approach to the assessment of pre-hospital emergency medical response and
patient care for the purpose of improving patient care service and outcome. Ambulance Provider
shall participate in the CQ1 program. The CQ1 will not be limited to clinical functions alone, and
shall include methods to measure performance, including response times and customer
satisfaction, and identify areas for improvement along with implementation and evaluation
recommendations, and shall further comply with the CQ1, as such Program may be modified or
amended from time to time in consultation with Ambulance Service and the ESB. Any change
or recommendation related to clinical practices shall be approved by WREMAC.

C) Ambulance Service shall submit a quarterly report to the City to show compliance
with the CQI recommendations, as required by the ESB.
D) Ambulance Service's clinical performance must be consistent with standards
established by the AWMAC or REMSCO as appropriate.
E) Ambulance Service shall provide all labor, supervision and equipment required to
perform ambulance services as set forth in this Agreement.
F) Ambulance Service shall maintain appropriate communications equipment in its
emergency vehicles as may be necessary. The term "appropriate communications equipment"
shall require items detailed in the definitions section of Comnunications system contained
herein; such requirements may reasonably change from time to time upon no less than thirty (30)
days' notice, to ensure state-of-the-art EMS technology and an EIWS system at high standards
commensurate with then - current industry standards for a community such as Buffalo.
Cs} Ambulance Service shall maintain sufficient numbers of employees who shall
meet applicable professional qualifications as prescribed by the State of New York and acquire
and maintain all certifications and licenses required by New York State and the City.
H) Ambulance Service shall possess and maintain all equipment necessary to carry
out the terms and conditions of this Agreement as prescribed by New York State and the City
and as detailed in Exhibits.
A) Bmg enc�onse Units
All ambulances utilized in the City under the terms of this Agreement shall be equipped
and maintained consistent with the requirements of Part 800 of New York Codes, Rules and
Regulations, Sections 800.21 through 800.26, as amended from time to time. See Exhibit B.
Ambulance Service shall be responsible for stocking all expendable supplies including
medications. All medical equipment shall be in good repair and in working and safe order at all
times. Ambulance Service shall have sufficient medical equipment and expendable supplies so
that there is sufficient backup to accommodate replacement during repair, and for times of excess
demand in the system.
Ambulance Service shall provide a demand and deployment schedule that will include
the proposed number of ambulances and the proposed posting locations to the Fire
Cornunissioner on or before the fifth of every month. Such schedule shall comply with the terns
agreed upon for Peak Hours quarterly. In the event that the Fire Commissioner disagrees with
any material factor of the schedule, the Ambulance Service and Fire Commissioner shall meet to

jointly agree on any modifications to the proposed schedule. Ambulance Service must have at
least 20 ambulances posted within the City limits and available to the City on a priority basis
during Peak Hours, and at least 10 ambulances posted within the City limits and available to the
City on a priority basis during Non-Peak Hours, Ambulance service shall maintain system status
management CAD data so the City may review Ambulance service's vehicle deployment upon
request for the investigation of complaints, concerns or for Continuous Quality Improvement
(CQI) purposes. Ambulance Services shall within forty-five (45) calendar days of the Effective
Date, make available to the Fire Commissioner and/or his designee real-time web based GPS
location data pertaining to the location of each ambulance and equipment located within the
municipal bounds of the City. Further, Ambulance Service shall be required to submit
GPS/AVL system, data maintained in the CAD systems contained on the units to the ESE for
those City available ambulances upon reasonable requests for a period not to exceed 120 days
from any specific date of service.

Ambulance Service shall place a Paramedic/ALS ambulance or Paramedic Fly-
Car and BLS transporting Unit at the scene of ALS Non-Life Threatening Emergency
calls (as received by Ambulance Service from Dispatch) within n (9) m (59)
seconds on not less than 90 percent of all calls in any mouth period. In the event a
Paramedic Fly-Car arrives first at the scene and within the 9:59 minute standard,

Ambulance Service shall have the BLS transporting unit at the scene within ten (10)
minutes from the call triggering Measuring Response Time

Ambulance Service shall place a BLS transporting Unit at the scene of BLS
Emergency calls (as received by Ambulance Service from Dispatch) within fourteen (14)
minutes, fifty-nine (59) seconds on not less than 90 percent of all calls in any month
period.

For the purposes of evaluating fractal response time performance, response time
shall be measured as the elapsed time from when Ambulance Service's "Responding
Unit" receives the call from Dispatch and the time a Responder Unit arrives on the scene.

C) Vehicle Lists
Ambulance Service shall provide a list quarterly to the ES13 of all its New York State
Certified vehicles and any additional equipment to be utilized pursuant to this
Agreement, including the number designation and unit definition as prescribed by the
ESB Rules and Regulations. See Exhibit D. Any additions or deletions to this list of
vehicles or equipment must be provided to the Chairman of the ESB as soon as possible,
but no later than one (1) week from assignment to, or removal from service within the
City's corporate limits. The City and its designated agents reserve the right, from time to

time, to inspect any and all vehicles and equipment utilized by Ambulance Service to
meet its obliRations under this contract, upon reasonable advance notice.
D) Patient Monitoring Stations
If such a plan is adopted, Ambulance Service agrees, without unreasonable burden to
Ambulance Service, to the following:

In cooperation with the ESB, Fire Department, and City public health agencies
and community organizations, ' Ambulance Service agrees to develop a RAPID Access
Program (RAP) in the City for the purpose of developing alternate transport and service
options for non-emergency calls that require medical or mental health services, but do not
warrant an ambulance transport. RAP methods shall include community outreach and
engagement, patient assessment, intervention and treatment linkage services designed to
redirect high- frequency, non-emergency EMS users to more appropriate community
resources to maximize EJE S, efficiency and minimize costs.

In cooperation with area hospital partners, Ambulance Service agrees to
participate in the implementation of a Community Paramedic Program to for post-
discharge, high-risk patients by providing patient case management and medical services
through proactive home visits. Ambulance Service is to provide patient care
management, accident prevention, counseling and non-emergency medical services to
reduce unnecessary hospital readmissions, pursuant to agreements with medical
providers. These physician-directed services shall be performed in patients' homes to
bridge the care and communication gap between hospitals and high-risk patients after
discharge. Paramedics shall perform tasks including, but not limited to conducting home
safety assessments, providing patient education and monitoring of home discharge
instructions, and assisting with the performance of home treatment regimens. Ambulance
Service shall be entitled to such compensation as set forth in any written agreements with
any medical provider, hospital, insurance company or government agency related to its
implementation or provision of services as set forth in this Section.

Ambulance Service shall provide and maintain a secondary means of a two-way voice
communication between Dispatch and each mobile response unit (i.e. cellular telephone).
G) Hospital Selection
Ambulance Service must transport any patient to the nearest appropriate health care
facility capable of treating the illness, disability or injury of the patient, based on the mechanism
of injury, assessment findings, treatment and state and local protocol. A Patient's choice of
hospital or other facility should be 'complied with unless contraindicated by state or regional
protocol or the assessment by a certified EMS provider shows that complying with the Patient's
request would be injurious or cause 1 1- beher harm to the patient. Patient transfer can be arranged
following emergency care and stabilization. In such cases, the EMT should fully document the

patient's request and the reasons for the alternate destination decision, including any medical
control consultation. I
Section 3.05 Records and Evaluation
Ambulance Service shall maintain appropriate records pursuant to the ESB Rules and
Regulations. See Exhibit D. Such records shall be available for inspection by the City or the
ESB upon reasonable request. All records and information requests shall comply with the most
recent standards and requirement of the Federal Health Insurance Portability and Accountability
Act of 1996 (HIPAA) standards.
C) Representatives from Ambulance Service and the City shall meet from time to
time to discuss the implementation of this Agreement and develop solutions to any actual or
potential problems arising out of the implementation of this Agreement. No representative shall
have the authority to change any provision of this Agreement except as provided herein. The
representatives however, shall carry out the terms of this paragraph such that the intent of this
Agreement is accomplished with as little hardship on either party as possible. Meetings shall be
called as required by the Fire Commissioner or Ambulance Service. In addition to or in lieu
thereof, a minimum of one (1) supervisory level Ambulance Service representative shall attend
the ESB's meetings held each month.
D) Material complaints related to the requirements and performance standards set
forth in this Agreement shall be referred to the ESB, which shall assess each issue and make

Section 4.01 Workers' ComppmPtinn
This Agreement shall be void and of no effect unless Ambulance Service shall secure
workers' compensation insurance for the benefit of, and keep insured during the life of this
Agreement, any and all employees as are required to be insured under the provisions of the
Workers' Compensation Law of the State of New York.
�ection 4.02 Disabilfty InslKance
This Agreement shall be void and of no effect unless Ambulance Service shall secure
disability insurance for the benefit of, and keep insured during the terra of this Agreement, any
and all employees as are required to be insured under the provisions of Section 220 of the
Workers' Compensation Law of the State of New York.
Section 4.03 General Liability Insuranc
Ambulance Service shall secure and keep in fall force and effect insurance coverage with
the City as an additional named insured on both policies in an amount not less than Three
Million Dollars ($3,000,000) for both bodily injury and property damage under both vehicle
liability insurance and comprehensive general liability insurance.
Section 4.03 Professional Liability Insurance
Ambulance Service shall secure and keep in full force and effect during the term of this
Agreement Professional Liability Insurance with the City as an additional named insured in an
amount not less than Three Million Dollars ($3,000,000) per occurrence. Said insurance shall be
issued by a responsible insurer licensed or authorized to do business in the State of New York.
Section 4.04 Certificate of Insurance
Ambulance Service shall file with the City a Certificate of Insurance certifying that the
insurance coverage as provided herein is in full force and effect, and may be canceled only after
receipt of thirty (30) days written notice to the City.

Section 4.05 Notice of Te
Each of the foregoing insurance policies shall contain a provision providing for thirty
(30) days' notice to the City by the insurer in the event that any policy is not renewed, In
addition, in the event that Ambulance Service is notified of changes to, or becomes aware of any
reduction or modification in insurance coverage, it shall immediately notify the City in writing of
such insurance coverage modification.
Section 4.06 Irrevocable Letter of Credit/Surety Bond

Section 5.01 Insvection
There shall be an Emergency Medical Service Board (E813), which shall act as an
advisory body to the City and may make recommendations to the City pursuant to the terms of
this Agreement.
Section 5.03 Exclusive Contract

The City shall transmit all calls for emergency medical Care and support services to
Ambulance Service. The City shall suffer no monetary or other loss if it calls another ambulance
tinn because Ambulance Service is unable to perform. The City may initiate a request for service
to any other ambulance service company in the event Ambulance Service is unable to provide
service for any reason. The City shall provide a First Responder Program of services to any calls
determined by it to require first responder services. All other providers will be prohibited from
transporting emergency calls unless Ambulance Service is unable to respond to any given call as
requested.
Section 5.04 Disaster Plan
The Buffalo Fire Department within the City shall have charge of the protection of life
and coordination of personnel at the scene of an emergency, subject however, to the provisions
of this Section. Ambulance Service, in accordance with its reasonable discretion, shall have
charge of rendering emergency medical care and support services as defined herein to any or all
sick or injured persons at the scene of an emergency, in cooperation and conjunction with the
Fire Department personnel on location. In the event however, that action or inaction is deemed to
be required for the preservation of life or personal safety due to physical circumstances that may
exist at such emergency scene, the ranking fire officer shall have the authority to direct or control
Ambulance Service's personnel in the rendering of such services. In all other situations where
life or personal safety have not become endangered, the authority of the ranking fire officer shall
be limited to the directing of Ambulance Service's personnel to stati themselves or their

Section 7.02 Rates for Service
A) No charge shall be made or levied upon the City for the performance of any
services as described in this Agreement, except as herein provided and in accordance to federal
and state regulations.
B) The rates that Ambulance Service may charge during the term of this Agreement
for all services rendered under this Agreement to any patient are set forth by Federal Medicare,

County Medicaid, for third party payers and self-pay participants pursuant to Section 3.04 (A).
Ambulance Service shall use best efforts to collect all of the charges made or levied upon its
patients, The use of additional employees, attorneys or collection agencies, whichever
Ambulance Service elects to use, shall be made if collection efforts are not adequate. Nothing in
this Agreement shall prevent Ambulance Service from attempting to collect all of the charges
made or levied upon any patient, except as herein otherwise provided.
C) Upon request by the Chairman of the ESB, Ambulance Service shall provide the
current rate of transport and other chargeable medical services by Ambulance Service in effect
for any third party payer, Federal Medicare, County Medicaid, or other medical insurance
provider operating in the City.
ARTICLE VIII
ADDITIONAL PROVISIONS

Ambulance Service shall during its performance of the services required pursuant to this
Agreement, comply with all local, state and federal laws, ordinances, rules and regulations
controlling or limiting, in any way, its actions. Furthermore, each and every provision of law and
clause required by law to be inserted in this Agreement shall be deemed to be inserted herein and
this Agreement shall be read and enforced as though it were included herein. If, through mistake
or otherwise, any such provision is not inserted or is not correctly inserted, then upon the
application of either party, this Agreement shall forthwith be amended to make such insertion or
correction.

Section 8.03 Staffing Requirements
Ambulance Service agrees to increase staffing levels wader this Agreement from ?
ambulances to 10 ambulances, during non-peak hours, and froze 10 ambulances to 20
ambulances, during Peak hours, within forty-five (45) calendar days of the Effective Date.
Ambulance Service acknowledges its continued commitment to local hiring of City residents.
Further, Ambulance Services shall use commercially reasonable efforts to attain a minority
workforce goal of 25% and a woman workforce goal of 5%. Moreover, Ambulance Services
shall use commercially reasonable efforts to list all new employment opportunities with the City
of Buffalo, the New York State Department of Labor, the Buffalo Employment and Training
Center and the Buffalo and Erie County Workforce Investment Board.
Section 8.04 Living Wage
As it pertains to work within the legal boundaries of the City, Ambulance Service must
certify that it will pay at least the hourly wages mandated by the Ordinance. For 2014, the rate is
$11.28 if the worker receives health benefits from the employer and $12.66 if the employee does
not. There will be an automatic cost-of-living adjustment each January I".
There are two exceptions to the Ordinance. Professional contracts such as legal,
architectural, or engineering services are not covered by the Ordinance. Also, persons employed
in construction work covered by prevailing wage laws are exempt from the Ordinance.
Ambulance Service is prohibited from assigning, transferring, conveying, subletting,
subcontracting or otherwise disposing of this Agreement or any of its contents, or of its right,
title or interest herein, or of its power to execute such contract to any other person or corporation
without the prior consent, in writing, of the City, except as may otherwise be provided herein.
Section 8.06 Refusal to Testify
Ambulance Service shall disclose any information requested of it by any law enforcement
agency, grand jury, criminal court or legislative body, so long as such requested information
reasonably relates to the operations required pursuant to this Agreement. All requests for

information must conform with HIPAA standards. Failure to provide such infon upon such
proper request shall constitute grounds for termination of this Agreement.
Section 8.07 Status as Indepe cnt Contractor
Ambulance Service, in accordance with its status as an independent contractor, covenants
and agrees that it will conduct itself consistent with such status, that it will neither hold itself out
as, nor claim to be, an officer or employee of the City by reason thereof, and that it will not, by
reason thereof, make any claim, demand or application to, or for any right or privilege applicable
to an officer or employee of the City including, but not limited to, Workers' Compensation
coverage, disability coverage, liability coverage, unemployment insurance benefits, social
security coverage or retirement membership or credit.
Section 8.08 General Termination Provisions
A) Termination with Notice
1) Termination for Substantial Violation
In the event that Ambulance Service commits a willfal default, which default also
tends to threaten the health and safety of the residents of the City, this Agreement shall
terminate as hereinafter provided upon written notice of termination to Ambulance
Service.
2) Recurring Default
In the event that Ambulance Service has received a Notice of Default under
subparagraph (A) of this section, due to a default in the performance of a requirement in
this Agreement and has, within the prescribed sixty (60) day period, remedied or
corrected such default and subsequently defaults with respect to the same requirement a
second or successive occasion within any six month period, this Agreement shall be
terminable as hereinafter provided upon written notice of termination to Ambulance
Service.

C) Notice of Termingtim,
Notice of termination shall be in writing and shall be directed to Ambulance Service at its
last known address by registered or certified mail. The termination shall become effective at
11:59 PM, prevailing time, on the date following the time and date stamped on the registered or
certified mail receipt.
D) Prorated Franchise Fee
If this Agreement is terminated prior to its expiration for any reason, the Franchise Fee
due under Section 2.03 will be prorated for the actual months of performance through the
termination date.
Section 8.09 Extent of Ageement
Section 8.11 Fair Market Value.
This Agreement has been negotiated at arm's length and in good faith by the parties.
Nothing contained in this Agreement, including any compensation paid or payable, is intended or
shall be construed: (i) to require, influence or otherwise induce or solicit either party regarding
referrals of business or patients, or the recommending the ordering of any items or services of
any kind whatsoever to the other party or any of its affiliates, or to any other person, or otherwise
generate business between the parties to be reimbursed in whole or in part by any Federal Health
Care Program; or (ii) to interfere with a patient's right to choose his or her own health care
provider.
Section 8.12 Compliance w�ithAnt(i-Kick�back Statute.

Each party shall comply with the Federal health Care Programs' Anti - Kickback
Statute (42 U.S.C. § 1320a ®7b) and any applicable regulations promulgated thereunder. The
parties further recognize that this Agreement shall be subject to the amendments of the Anti-
Kickback Statute or any of its applicable regulations. In the event any applicable provisions
of the Anti- Kickback Statute or its regulations invalidate, or are otherwise inconsistent with
the terms of this Agreement, or would cause one or both of the parties to be in violation of
the law, the parties shall exercise their best efforts to accommodate the terms and intent of
this Agreement to the greatest extent possible consistent with the requirements of the Statute
and its applicable regulations:
Section 8.13 everability
If any provision of this Agreement is held invalid by a court of law, the remainder of this
Agreement shall not be affected thereby if such remainder would then continue to conform to the
laws of the State of New York.
Section 8.14 Jurisdiction
This Agreement shall be governed by the laws of the State of New York and the City of
Buffalo Charter and Code.

Attached hereto is a Memorandum of Agreement that we have reached with the Buffalo Poli
Benevolent Association, Inc. ( "PBA ") to cover the period from Fiscal Year 2009-2010 through and
including Fiscal Year 2018-2019, subject to your Honorable Body's approval.
The contract satisfies each of the goals we had developed in approachin th C l ongest
standing labor dispute. Namely, (1) making the next generation of Police Officers larger stakeholders
in out community and keeping investment in out City by mandating a residency requirement going
forward; (2) reasonably providing for modest 'increases in salaries earned by PBA member while
limiting back pay and interest arbitration costs; (3) restructuring the wage scale in a way that provid
for a lower starting salary for Police Officers and more gradual increases through a sensible step
system; and (4) phasing out the 901 health insurance plan.
Our first priority in contract negotiations was to do something to increase Police Officers'
stake in our community by being the first major city in New York St to achieve a polic residency
requirement. We believe this will not only improve the level of s t our citizens, but also
promote residential reinvestment in our City and further the City's unprecedented revitalization.
Over the course of their 20-plus year careers, Police Officer earn well over $1.5 million in
salary alone. For too long, a large number of Police Officers ha invested their resources in
surrounding communities from the very start of their careers. As a result, the City has not -realized
the benefit that these stable middle class incomes provide or the stability that results from -re
public safety personnel to reside in our neighborhoods.
The Memorandum of Agreement includes a requirement that all PBA members hired after
ratification shall be dollu'ciled residents of the City at the time of their hire and shall remain domiciled
residents of the City for a period of seven (7) years. The City will seek an extension of this requirement
for a longer period of time in successor agreements. The residency requirement distinguishes th City
of Buffalo as the only major city in New York State with a residency requirement for its Police
Officers.
The Mernorandurn of Agreement contemplates very modest annual retroactive increases in
salary going back to fiscal year 20122013, and contemplates no retroactive increase in longevity
payments until July 1, 2015. When compared to the likely results of interest arbitration awards for the
unsettled contract years, the limited retroactivity of this contract is significant and provides the
necessary -reserves to finance any increased wage costs not canceled out by the savings achieved
through concessions.
This forward-thinking approach makes the PBA the fourth Major union to enter into a long-
term contract with the City in the past two (2) years and ends the stalemate that existed and resulted
in increased arbitration costs and a strained union- management relationship since the wage freez was
lifted.
An additional priority was to restructure the wage scale for newly hired Police Officers going
forward. History has demonstrated that the vast majority of out new hires stay in service for at least
twenty (20) years and retire honorably from it. Therefore, it did not make financial sense t i ncrease
the wage scale without adding steps that would lengthen the time it will take new hires and f u t ure
Police Officers to reach the top step. The starting salary was also lowered to provide a direct
correlation between experience levels and wages earned throughout each of the stages of a P
Officer's career.
Going forward, newly hired Police Officers will have a seven (7) s t e p wage scale, which
includes a starting salary that is equal to 60% of the top step that can be earned by a Police Officer.
Upon successful completion of their first year of service, Police Officers will receive a salary that is
equal to 70% of the top step that can be earned by a Police Officer. Upon completing their second
year of service, Police Officers will move into the first of the five (5) additional steps, moving up one
step upon the completion of each year of service thereafter until they reach th top salary step for th
position.
The savings realized by this restructuring of salaries will help to responsibly finance the
transition of die Department, as Police Officers who have served th City for long and successful
careers retire from the top step and are gradually replaced by Police officers who will reach the top
step after serving for seven (7) years. We found that the proposed wage sca is fair, reasonable, and
will provide long term fiscal stability and certainty for the City.

A final priority was to phase out the 901. health insurance plan, which, as your Honorabl
Body is aware, is the most costly health insurance plan used by City employees. The PBA was the
only remaining collective bargaining unit in - which new hires were sA offered the opportunity to enroll
-in the 901 health 'insurance plan.
Pursuant to the Memorandum of Agreement, no member of the PBA hired after ratification
shall be entitled to enroll in the 901 health care plan, providing immediate premium cost savings t
the City as new hires com on li ne .

There are two (2) provisions of the Memorandum of Agreement that provide for changes
regarding use of service credits by United States Military Veterans, These changes are both fiscally
prudent and sensible.
Members of the PBA who served in the United States Nlilitary who have been Honorably
Discharged or who are still serving in the military will receive three (3) days off with pay for each
calendar year which are earned on Independence Day, Veteran's Day and Memorial Day. The majority
of military personnel, active and retired, who are employed by the Police Department already earn
these three (3) days and this provision will afford the same benefit to all members who have honorably
served out Country.
Similarly, the Memorandum of Agreement allows for any PBA member who has purchased
their active duty military service time and credited it toward their New York State pension service
credits, to have that same amount of time credited to their service time with the Buffalo Police
Department for the purposes of being eligible for retirement benefits. Previously, members may have
been eligible to retire after purchasing military service time to count toward their 20 years in the New
York State Retirement System, but were not eligible for health insurance in retirement as they had not
yet served 20 years within the Buffalo Police Department. The Memorandum of Agreement
harmonizes the Collective Bargaining Agreement with the New York State Retirement System
regulations.
This Contract Agreement represents the fourth major 1011 9-tcrm union contract reached
within the past two (2) years. The Agreement represents a priority- driven approach to effective
contract negotiation, by providing the City with long term fiscal stability and certainty, while achieving
meaningful reforms that will improve City services. I am proud to state confidently that this
Agreement paves the way for the long term health and stability of the Buffalo Police Department and
for the City of Buffalo. The proposed Memorandum of Agreement h been ratified by a vote by t
PBA members and will be reviewed by the Buffalo Fiscal Stability Auth on July 29`''. 1, therefore,
respectfully request that your Honorable Body forward this item to the Finance Committee and

annually, in addition to their salary, one hundred eighty five dollars ($185.00) longevity pay for each completed

Effective 07/01/2018, each permanent employee who has completed one (1) year of service shall receive
annually, in addition to their salary, one hundred ninety five dollars ($195.00) longevity pay for each completed
years of service to a maximum of 25 years.
Longevity increases are fully retroactive, including any officers who retired prior to the date of this
agreement.
All employees that have served in the United States Military and has been Honorably Discharged or, who is
still serving in the United States Military; shall receive three days off with pay for each calendar year. These
veteran accruals shall be designated on the affected employee's payroll stubs as vet's days. The payroll stubs
shall indicate when an employee earns a vet's day and when such day is utilized. The vet's days will be earned
on Independence Day, Veteran's Day and, Memorial Day.
Any employee, who has purchased their military service time and had such credited to their New York State
Pension service time, shall have the same amount of service time credited to the service with the Buffalo Police
Department for the purpose of retirement benefits.
The following are changes to the current collective bargaining agreement for overtime procedure, .Article 2,
section 6:
(A) The senior off -duty Police Officer assigned to the platoon /unit i which the manpower shortage
occurs, shall be offered the opportunity to work overtime. If that off-d Police Officer declines to
accept the opportunity to work the overtime, the next most senior off -duty Police Officer shall be
given the opportunity to work the overtime. Said opportunity shall likewise persist through the
platoon /unit based on seniority.
(K) The senior Lieutenant assigned to the platoon /unit in which the manpower shortage occurs shall be
offered the opportunity to work overtime. If that off-duty Lieutenant declines to accept the
opportunity to work overtime, the next most senior off -duty Lieutenant assigned to the rlatoon /unit
shall be offered the opportunity to work overtime. If the overtime is not filled at that point the
opportunity to work the overtime shall be offered to the senior most off -duty Lieutenant from a
blended list of all the Lieutenants with that assignment.

Health Care (Survivor Benefits) NEW
The City of Buffalo agrees that the spouse, as long as he/she does nooemarry, and dependents (until the age
of 26) of an officer killed in the line of duty or who cues while on duty or dies as a result of the performance of
their duties, shall receive the same medical coverage as the deceased, for life, without cost to the surviving
spouse.
The parties agree to establish a Sick Leave donation bank for the sole use of members of the PBA. Employees
may donate sick leave accruals in 10 hour increments. Employees desiring to contribute to the Sick Leave
donation bank may do so by completing an authorization document from the PBA. The completed
authorization document must be time stamped in the office of the Police Commissioner and thereafter
delivered to the department's timekeeper. Contributions to the Sick Leave donation bank shall be solely
credited to the sick leave account of the employee for whom the Sick Leave contribution has been made, and
the utilization of the sick leave days shall not be retroactive in nature. 'fie recipient of sick leave contribution
shall not receive more than six hundred (600) hours of sick leave accruals. Once the six hundred (600) hours
is fully utilized the member is entitled to receive another allotment of sick leave contributions. Upon
termination of the Sick Leave donation bank the remaining sick leave hours shall be dissolved, and said days
shall not be returned to the sick leave accounts of the contributing employees nor be eligible for "buy back ".
PBA members contributing sick leave accruals shall not have those donated hours charged against their perfect
attendance pay.
All members hired after ratification of this agreement shall be domiciled residents of the City of Buffalo at the
time of hire and shall remain so domiciled for seven (7) years. This provision of the collective bargaining
agreement shall sunset at the end of this contract terra; June 30, 2019. Those hired between ratification and
June 30, 2019 shall remain domiciled in the City of Buffalo for seven (7) pears.
The parties agree that anyone hired after ratification shall not be entitled b enroll in the BC /BS of WNY 901
health care plan. Anyone hired after ratification of this agreement shall be entitled to enroll in BC /BS of VM
POS 201 and POS 201 Plus under the contribution plan that is currently in place. It is agreed that such new
hires shall be entitled to a portable health care plan upon their retirement. The parties agree to meet in the
Future and agree to negotiate to mutual satisfaction a health care plan that s portable for those post radfication
hires that are affected by this amendment.
